By accessing or using the Files App service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Files App GmbH ("Company," "we," "us," or "our").
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes.
Files App is a cloud-based file storage and sharing platform. The Service enables you to upload, store, organize, and share files securely using end-to-end encryption. We offer both free and paid subscription plans with varying storage capacities and features.
The Service includes client-side encryption capabilities. When encryption is enabled, your files are encrypted on your device before being transmitted to our servers. We do not have access to your encryption keys and cannot decrypt your files.
To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access to your account.
You may create only one account per individual. Accounts are non-transferable. You must be at least 16 years of age to create an account and use the Service.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to: (a) store or distribute content that infringes on intellectual property rights; (b) upload or distribute malware, viruses, or other harmful software; (c) engage in any activity that disrupts or interferes with the Service; (d) attempt to gain unauthorized access to any part of the Service; (e) use the Service for any illegal activity.
We reserve the right to suspend or terminate accounts that violate this policy. Where possible, we will provide notice before taking action, except in cases involving illegal activity or imminent harm to other users.
You retain full ownership of all files and content you upload to the Service. By using the Service, you grant us a limited, non-exclusive license to store and process your files solely as necessary to provide the Service to you. This license terminates when you delete your files or close your account.
The Service itself, including its design, software, trademarks, and documentation, is owned by Files App GmbH and protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in the Privacy Policy.
Due to our zero-knowledge encryption architecture, we cannot access the contents of encrypted files stored on the Service. This means we are unable to scan file contents, comply with content-specific requests, or recover encrypted files if you lose your encryption key.
Paid subscription plans (Pro and Team) are billed monthly in advance. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.
All prices are listed in Euros (EUR) and are inclusive of applicable taxes. We accept major credit cards and SEPA direct debit. If a payment fails, we will attempt to process it again and notify you. After 14 days of failed payment, your account may be downgraded to the Free plan.
In accordance with EU consumer protection law, you have the right to withdraw from your subscription within 14 days of your initial purchase for a full refund. To exercise this right, contact us at billing@files-app.com.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, software updates, or circumstances beyond our control.
We will make reasonable efforts to notify you of planned maintenance at least 24 hours in advance. Emergency maintenance may be performed without prior notice when necessary to protect the security or integrity of the Service.
To the maximum extent permitted by applicable law, Files App GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claims related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
This limitation of liability does not apply to damages caused by our willful misconduct or gross negligence, or to any liability that cannot be excluded under applicable law.
Either party may terminate this agreement at any time. You may close your account through your account settings or by contacting us. Upon termination, your data will be retained for 30 days to allow for account recovery, after which it will be permanently deleted.
We may terminate or suspend your account immediately if you violate these Terms, particularly the Acceptable Use Policy. In the event of termination for cause, we will provide you with the reason for termination and, where applicable, an opportunity to remedy the violation.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email at least 30 days before the changes take effect. If you do not agree with the revised Terms, you may close your account before the changes become effective.
Non-material changes, such as corrections of typographical errors, may be made without prior notice. The date of the most recent revision is always indicated at the top of these Terms.
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.
If you are a consumer residing in the European Union, you may also bring proceedings in the courts of your country of residence. Nothing in these Terms affects your rights as a consumer under applicable EU law.
